Platform Terms & Conditions
The service agreement for using the Finvoice invoicing, Trust Score and financing platform.

1. Definitions
In these Terms & Conditions (the "Agreement"):
- "Finvoice", "we", "us" or "our" means Finvoice of 9th Floor TanHouse Victoria, P.O. Box 77499, 14112, Dar es Salaam, Tanzania.
- "Platform" means the Finvoice invoice network, including the website, applications, APIs and related services.
- "User", "you" or "your" means the business registered on the Platform and each individual acting on its behalf.
- "Invoice" means an invoice created, sent, received or recorded through the Platform.
- "Acknowledgment" means a Buyer's confirmation through the Platform that an Invoice is valid and payable; "Settlement" means the recorded payment of an Invoice.
- "Trust Score" means the verified payment reputation computed by Finvoice from a User's acknowledged and settled Invoices and related transaction behaviour on the Platform.
- "Financing Institution" means a bank or financial institution licensed in Tanzania through which invoice financing is facilitated on the Platform.
2. Account Registration and KYC
To use the Platform you must register an account, provide accurate and complete information about your business and its authorised representatives, and complete our know-your-customer ("KYC") verification, which may include business registration documents, taxpayer identification, national ID or passport details, and other documents we reasonably request. You must keep this information up to date at all times.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at hello@finvoice.co.tz of any unauthorised use. We may decline, suspend or revoke registration where verification fails or where required by law.
3. The Invoicing Service
The core invoicing service — creating, sending, receiving, acknowledging and tracking Invoices between businesses on the Platform — is provided free of charge. You are solely responsible for the accuracy, completeness and lawfulness of every Invoice you issue, including compliance with Tanzanian tax and invoicing requirements. Finvoice is a technology platform: we are not a party to the underlying commercial transaction between you and your counterparty, and we do not guarantee that any Invoice will be acknowledged or paid.
4. Invoice Acknowledgment and Settlement
When you receive an Invoice through the Platform, you agree to review it promptly and either acknowledge it or raise a dispute with reasons. An Acknowledgment is a factual confirmation, recorded on the Platform, that the Invoice is valid and payable in accordance with its terms. When you pay or receive payment for an Invoice, you agree to record the Settlement on the Platform accurately and promptly.
Acknowledgments and Settlements feed directly into Trust Scores and may be relied upon by counterparties and, where you request financing, by Financing Institutions. Knowingly acknowledging a false invoice, fabricating settlements, or otherwise manipulating these records is a material breach of this Agreement and may constitute fraud under Tanzanian law.
5. The Trust Score
The Trust Score is a verified payment reputation derived from your activity on the Platform, including the volume and history of acknowledged Invoices, payment timeliness, settlement completeness and dispute outcomes. It is computed by Finvoice using consistent methodology applied to all Users, and it may change as new transaction data is recorded.
You acknowledge that: (a) the Trust Score is an informational indicator only and is not a credit rating, credit report or recommendation; (b) a Trust Score of any level does not guarantee that you will be offered financing, whose terms and approval rest solely with the Financing Institutions; and (c) you have the right to review the transaction data underlying your Trust Score and to request correction of inaccurate or incomplete data through the Platform or by writing to privacy@finvoice.co.tz. We will investigate correction requests and adjust the underlying data, and any affected Trust Score, where an inaccuracy is confirmed.
6. Financing Services
The Platform allows you, at your option, to request financing against eligible Invoices. Financing is facilitated through Financing Institutions — Tanzania's leading banks and financial institutions. Finvoice acts solely as a facilitator: we transmit your application and relevant data (with your consent), but all credit decisions, financing terms, disbursements and collections rest with the Financing Institution.
If your application is approved, you may be required to enter into a separate credit or financing agreement directly with the Financing Institution, and that agreement will govern the financing. Any fees or charges applicable to a financing transaction — whether payable to Finvoice or to the Financing Institution — will be disclosed to you before you accept the financing offer. Finvoice does not guarantee that any financing request will be approved, funded or offered on particular terms.
7. Fees and Payment
Invoicing between businesses on the Platform is free. Where a Buyer settles an Invoice through a Finvoice payment page (including by mobile money, bank transfer or card), Finvoice charges a service fee of three percent (3%) of the amount collected, which is deducted automatically from the payout to the Seller before remittance. Recording settlements made outside the Platform is free of charge. Additional fees may apply to optional services, including financing facilitation, and all applicable fees are disclosed to you before you incur them.
8. User Obligations and Prohibited Conduct
You agree to use the Platform only for lawful business purposes and in accordance with this Agreement. In particular, you must not:
- Create, send or acknowledge false, inflated or fictitious Invoices, or record settlements that did not occur.
- Attempt to manipulate any Trust Score, whether your own or another User's, including through collusive or circular transactions.
- Use the Platform for money laundering, terrorist financing, tax evasion or any other unlawful activity.
- Impersonate another business or person, or submit KYC documents that are forged or that belong to someone else without authority.
- Interfere with the security or operation of the Platform, reverse engineer it, or access it by automated means without our written consent.
- Use data obtained from the Platform about other Users for purposes unrelated to your transactions with them.
9. Data and Privacy
Our collection and use of personal data — including account and KYC data, invoice and transaction data, Trust Score computation and sharing with Financing Institutions when you request financing — is governed by our Privacy Policy, which forms part of this Agreement. We process personal data in accordance with the Personal Data Protection Act, 2022 of Tanzania and its regulations. Where you submit personal data of your employees, directors or counterparties to the Platform, you confirm that you are authorised to do so.
10. Suspension and Termination
You may close your account at any time by contacting hello@finvoice.co.tz. We may suspend or terminate your access, with notice where practicable, if you materially breach this Agreement, if we reasonably suspect fraud or unlawful activity, if required by law or a competent authority, or if we discontinue the Platform.
On termination, your right to use the Platform ends, but provisions concerning accrued obligations, records retention, disclaimers, limitation of liability, indemnity and dispute resolution survive. We will retain and make available your invoice records to the extent required by law, and you may request an export of your data before closure.
11. Disclaimers
The Platform is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose or non-infringement. Without limiting the foregoing: we do not warrant that any counterparty will acknowledge or pay an Invoice; we do not warrant the creditworthiness of any User; the Trust Score is provided for information only; and we are not responsible for the acts, omissions or decisions of any Financing Institution. Nothing on the Platform constitutes financial, legal or tax advice.
12. Limitation of Liability
To the maximum extent permitted by law: (a) Finvoice shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, data or goodwill; (b) Finvoice shall not be liable for losses arising from unpaid Invoices, counterparty defaults, financing decisions of Financing Institutions, or your reliance on a Trust Score; and (c) our aggregate liability arising out of or in connection with this Agreement shall not exceed the fees you paid to Finvoice in the twelve (12) months preceding the event giving rise to the claim, or TZS 1,000,000 if you paid no fees. Nothing in this Agreement excludes liability that cannot be excluded under Tanzanian law, including liability for fraud or wilful misconduct.
13. Indemnity
You agree to indemnify and hold harmless Finvoice and its directors, officers, employees and agents from and against all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to: your breach of this Agreement; the Invoices you issue, acknowledge or settle; your commercial disputes with counterparties; your violation of any law or the rights of any third party; or fraudulent or inaccurate information you submit to the Platform or to a Financing Institution.
14. Force Majeure
Finvoice shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, epidemics, power or telecommunications failures, internet outages, actions of government or regulators, or failures of third-party infrastructure. We will resume performance as soon as reasonably practicable after the event ends.
15. Notices
We may give you notices through the Platform, to the email address registered on your account, or by SMS to your registered phone number, and such notices are deemed received when sent. You may give us notice by email to legal@finvoice.co.tz or by post to Finvoice, 9th Floor TanHouse Victoria, P.O. Box 77499, 14112, Dar es Salaam, Tanzania, and such notice is deemed received on our written confirmation of receipt.
16. Amendments
We may amend this Agreement from time to time. For material changes, we will give you at least fourteen (14) days' notice through the Platform or by email before the changes take effect. If you do not agree to the amended terms, you may close your account before they take effect; your continued use of the Platform after the effective date constitutes acceptance.
17. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the United Republic of Tanzania. The parties shall first attempt to resolve any dispute amicably within thirty (30) days of written notice of the dispute. If the dispute is not resolved, it shall, at the election of the party initiating proceedings, be referred either to the courts of the United Republic of Tanzania sitting in Dar es Salaam, or to arbitration in Dar es Salaam conducted in accordance with the arbitration laws of Tanzania before a single arbitrator, whose decision shall be final and binding.
