The rules that govern your use of the Finvoice website and its content.

1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of the Finvoice website and its content (the "Website"), operated by Finvoice of 9th Floor TanHouse Victoria, P.O. Box 77499, 14112, Dar es Salaam, Tanzania. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.

Use of the Finvoice platform itself — including invoicing, the Trust Score and financing services — is governed separately by our Platform Terms & Conditions. Where you use the platform, both documents apply, and the Platform Terms & Conditions prevail in the event of a conflict relating to the platform services.

2. Eligibility

The Website is intended for use by persons aged 18 or over who are acting in the course of business or exploring Finvoice's services. By using the Website you represent that you are at least 18 years old and have the legal capacity to enter into binding agreements under the laws of the United Republic of Tanzania or your place of residence.

3. The Website and Your Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your internal business and informational purposes. This licence does not permit you to reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit the Website or its content except as expressly allowed by these Terms or with our prior written consent.

We may modify, suspend or discontinue any part of the Website at any time without notice. We do not guarantee that the Website will be available at all times or free from interruptions or errors.

4. Acceptable Use

You agree not to:

  • Use the Website for any unlawful, fraudulent or harmful purpose, or in breach of any applicable law or regulation.
  • Attempt to gain unauthorised access to the Website, its servers or any connected systems, or interfere with their operation.
  • Introduce viruses, malware or other harmful code, or carry out denial-of-service attacks.
  • Scrape, harvest or collect data from the Website by automated means without our prior written consent.
  • Misrepresent your identity or affiliation, or impersonate any person or entity.
  • Use the Website in a way that could damage, disable or impair it, or restrict any other person's use of it.

5. Intellectual Property

The Website and all of its content — including text, graphics, logos, icons, images, software, the Finvoice name and marks, and the design and arrangement of the Website — are owned by or licensed to Finvoice and are protected by copyright, trademark and other intellectual property laws of Tanzania and international treaties. Nothing in these Terms transfers any ownership rights to you. You may not use the Finvoice name or marks without our prior written consent.

7. Disclaimers

The Website and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. Content on the Website is for general information only and does not constitute financial, legal, tax or other professional advice. You should obtain independent advice before acting on any information on the Website.

8. Limitation of Liability

To the maximum extent permitted by law, Finvoice and its directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of, or inability to use, the Website — even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the laws of Tanzania, including liability for fraud.

9. Indemnity

You agree to indemnify and hold harmless Finvoice and its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or your misuse of the Website.

10. Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page and updating the "Last updated" date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United Republic of Tanzania. Any dispute arising out of or in connection with these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts of the United Republic of Tanzania, sitting in Dar es Salaam, unless the parties agree to resolve the dispute through arbitration in Dar es Salaam.
